Please read these Terms and Conditions (“Terms”, “Terms of Use”) carefully before using the Brand Gryphon website (the “Service”) operated by BRAND GRYPHON (“us”, “we”, “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.


1. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of BRAND GRYPHON and its licensors.

2. Project Commencement and Client Responsibilities

  • Work will commence only after receiving the order and all required materials from the client.
  • A designated point of contact will be assigned from both parties to facilitate communication.
  • Clients must provide timely feedback at each stage to ensure clarity and progress.
  • Any change in project scope may result in a revised delivery schedule.
  • If a client requests work that violates government laws or Brand Gryphon’s internal policies, the project will be suspended, and no refund will be provided if work has commenced.

3. Client Guarantees and Indemnification

  • The client unconditionally guarantees that all content (text, graphics, photos, designs, trademarks, etc.) provided for website development is owned by them or has been used with legal permission from the rightful owner.
  • The client agrees to indemnify, defend, and hold harmless Brand Gryphon and its subcontractors from any claims, disputes, or legal actions arising due to unauthorized use of content.
  • Any images sourced from free image/icon websites will be credited in the Terms & Conditions or Privacy Policy page.

4. Project Promotion Rights

  • Brand Gryphon reserves the right to feature the client’s project in its portfolio, marketing materials, and case studies.
  • Brand Gryphon may advertise itself as the developer and digital marketing consultant for the client’s project.

5. Payment, Revisions & Cancellations

  • Revisions & Post-Live Changes: 30-day free revision period for layout, sections, or content updates after project go-live. Any changes requested after 30 days will be chargeable.

6. Payment Methods & Gateway Regulations

  • Payments can be made via Credit Card, Debit Card, UPI (Indian Banks), Net Banking, and Wallets (supported by RazorPay, Cashfree, PayU, Paypal or any Payment Gateway Provider, as per client requirement and country specific).
  • Brand Gryphon is not responsible for:
    • Unauthorized transactions.
    • Payment failures due to bank-side issues.
    • Transaction declines for any reason.

7. Third-Party Integrations & API Usage

  • Clients using Google Maps API, Firebase, Twilio SMS, or similar services must provide their own Credit/Debit Card details.
  • Billing for such services is based on a Pay-As-You-Go model, and Brand Gryphon does not charge clients separately.

8. App Development & Store Submission

  • Clients must have their own Google Play Store and Apple App Store developer accounts.
  • Submission fees & approval timelines depend on Google/Apple policies.
  • Apps will undergo a 14-day internal testing phase before submission.
  • App approval may take up to 14 additional days, subject to Google/Apple’s discretion.
  • If an app is rejected due to policy violations, Brand Gryphon is not responsible, and no refund will be provided.

9. Product & Order Maintenance for E-Commerce

  • Brand Gryphon offers product listing, editing, and order tracking assistance, but does not handle:
    • Product shipping.
    • Returns and refunds from end customers.
    • Order fulfillment or logistics.
  • Any returns from customers will be informed to the client but not managed by Brand Gryphon.

10. Third-Party E-Commerce Listings

  • Product listings on Amazon, Flipkart, Meesho, etc., are subject to review by those platforms.
  • Brand Gryphon is not responsible for:
    • Product listing rejections or suspensions.
    • Commission charges by these platforms.
    • Changes in listing policies.
  • Service suspension may occur if clients violate platform guidelines.

11. Communication Services (Email, SMS, WhatsApp)

  • Clients must adhere to rules set by:
    • Telecom providers
    • Government authorities
    • Regulatory bodies (TRAI, DLT, etc.)
  • Non-compliance may result in:
    • Service suspension
    • Legal consequences
    • Fines & penalties

12. DLT Registration Requirements

To use SMS/WhatsApp marketing, clients must complete DLT registration with the following documents:

  • Company Registration Proof
  • Owner’s PAN Card
  • Owner’s Aadhaar Card
  • Registration Fee: ₹5,900
  • Signed Agreement with Telecom Provider

13. External Links & Third-Party Services

  • Our website may contain links to external sites that are not operated by us.
  • Brand Gryphon is not responsible for third-party content, policies, or services.
  • Users must review third-party Terms & Privacy Policies separately.

14. Termination of Services

  • Brand Gryphon reserves the right to suspend or terminate services without notice if:
    • The client breaches any terms.
    • The client fails to comply with payment terms.
    • The project is found to violate laws or regulations.

15. Disclaimer & Limitation of Liability

  • The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
  • Brand Gryphon is not liable for:
    • Any indirect, incidental, or consequential damages.
    • Loss of data, business interruption, or financial losses.
    • Delays or failures caused by third-party platforms (Google, Facebook, Amazon, etc.).

16. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

17. Updates to Terms & Conditions

  • We may update these Terms at our sole discretion.
  • Major changes will have a 60-day prior notice.
  • Continued use of services after updates means acceptance of new terms.
